Important: By accessing or using VendRight, you confirm that you are authorised to act for the relevant business and agree to this notice on your own behalf and on behalf of that business.
1. Software supplied “as is”
VendRight is supplied on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, VendRight and Westony Pty Ltd (“Westony”) make no express or implied warranty that the software will be uninterrupted, error-free, secure, suitable for a particular purpose, compatible with every device or service, or that all defects will be corrected.
2. Business decisions and record accuracy
The software is an operational aid and is not accounting, tax, legal, financial or professional advice. The customer remains responsible for verifying prices, tax treatment, stock quantities, reports, transactions, customer and supplier balances, statutory records and all decisions made using the software or its output.
3. Customer configuration and lawful use
The customer is responsible for configuring companies, sites, tills, taxes, users, permissions, products, integrations, email and hardware correctly; restricting access to authorised persons; protecting passwords and devices; and ensuring that its use of VendRight complies with all laws, licences, employment obligations, tax requirements and industry rules.
4. Data protection, backups and continuity
The customer must maintain appropriate independent backups, test restoration procedures and keep reasonable manual or alternative business-continuity arrangements. The customer remains responsible for the lawfulness, accuracy and retention of data entered into VendRight and, where applicable, for its duties as responsible party under data-protection law. No system can guarantee that data will never be lost, corrupted, disclosed or rendered unavailable.
5. Protection of Personal Information Act (POPIA)
The customer acknowledges that information processed through VendRight may constitute personal information under the Protection of Personal Information Act 4 of 2013 (“POPIA”). Unless a written agreement provides otherwise, the customer determines why and how its customer, supplier, employee and user information is processed and is therefore responsible for complying with its obligations as the responsible party.
The customer is responsible for establishing a lawful basis for processing; providing required privacy notices; collecting only necessary and accurate information; controlling user access; setting appropriate retention and deletion periods; responding to data-subject requests; managing direct-marketing permissions; registering and supporting its Information Officer where required; and implementing reasonable technical and organisational security safeguards.
Where Westony processes personal information solely for the customer in providing VendRight services, Westony will act as an operator to the extent provided by POPIA and any applicable written operator agreement. The customer authorises such processing only for providing, securing, maintaining and supporting VendRight. Each party remains responsible for its own mandatory POPIA duties, which are not excluded by this disclaimer.
The customer must promptly notify Westony of any suspected unauthorised access, loss, disclosure or security compromise affecting VendRight. The party legally responsible for notification must make all notifications to the Information Regulator and affected data subjects required by POPIA. Nothing in this notice transfers or removes a statutory duty that cannot lawfully be transferred or excluded.
6. Networks, equipment and third parties
VendRight and Westony are not responsible for failures or losses caused by electricity interruptions, internet or local-network faults, malware, cyberattacks, unauthorised access, user error, device or printer failure, banks, payment providers, email services, hosting providers, operating systems, browsers, third-party software, integrations or circumstances beyond reasonable control.
7. Limitation of liability
To the fullest extent permitted by law, VendRight, Westony and their owners, directors, employees, contractors and suppliers will not be liable for loss of profit, revenue, sales, stock, data, goodwill, opportunity or anticipated savings; business interruption; replacement or recovery costs; or any indirect, incidental, special, exemplary, punitive or consequential loss arising from or connected with VendRight.
Where liability cannot lawfully be excluded, the combined liability of VendRight and Westony arising from the software or related services will, to the fullest extent permitted by law, be limited to the fees actually paid by the affected customer for VendRight during the three months immediately preceding the event giving rise to the claim.
8. Exclusions required by law
Nothing in this notice excludes or limits liability, rights or remedies that cannot legally be excluded or limited. Any restriction that is unlawful or unenforceable will apply only to the maximum lawful extent, without invalidating the remaining provisions.
9. Indemnity
To the fullest extent permitted by law, the customer agrees to indemnify VendRight and Westony against third-party claims, penalties, losses and reasonable costs arising from the customer’s unlawful use, incorrect configuration, content or data, breach of this notice, infringement of another person’s rights, or failure to control its users and credentials.
10. Availability, updates and support
Features may be corrected, changed, suspended or discontinued where reasonably necessary for security, maintenance, legal compliance or service improvement. Support, recovery and response times are governed only by a separate written service agreement where one has been concluded.
11. Copyright and intellectual property

VendRight, its source and object code, database structures, workflows, screen designs, graphics, branding, documentation and related materials are owned by or licensed to Westony and are protected by applicable copyright, trademark and other intellectual-property laws.
No ownership rights are transferred to any customer or user. Except where expressly authorised in a written agreement or permitted by mandatory law, no person may copy, reproduce, publish, sell, sublicense, distribute, modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, bypass security in, extract source code from, or commercially exploit any part of VendRight. Customer business data remains the property of the customer or its lawful owner.
12. Governing law
This notice is governed by the laws of the Republic of South Africa. Use of VendRight after this notice is presented constitutes acknowledgement of these terms, subject always to mandatory applicable law.
